2026 Annual Meeting of Shareholders
We held our 2026 Annual Meeting of Shareholders on June 5, 2026. For more information about the proposals that were submitted to the shareholders at the 2026 Annual Meeting, see our 2026 Proxy Statement.
Holders of the shares of Class A common stock were entitled to one vote per share held as of the close of business on April 6, 2026, our Record Date, and holders of the shares of Class B common stock were entitled to ten votes per share held as of the Record Date. Holders of the shares of Class A common stock and holders of the shares of Class B common stock voted together as a single class on all matters (including the election of directors) submitted to a vote of shareholders at the 2026 Annual Meeting.

The ten nominees were elected to Alphabet’s Board of Directors and will serve as directors until our next annual meeting or until their respective successors are duly elected and qualified.
2. The ratification of the appointment of Ernst & Young LLP as Alphabet’s independent registered public accounting firm for the fiscal year ending December 31, 2026
The results of the voting were 12,451,743,976 votes for, 486,022,124 votes against, and 13,151,687 abstentions. There were no broker non-votes on this matter. The proposal was approved.
3. Approval of the amendment and restatement of Alphabet’s Amended and Restated 2021 Stock Plan to increase the share reserve by 200,000,000 shares of Class C capital stock
The results of the voting were 11,172,299,966 votes for,1,181,470,416 votes against, 16,657,682 abstentions, and 580,489,723 broker non-votes. The proposal was approved.
4. Advisory vote to approve compensation awarded to named executive officers
The results of the voting were 9,989,122,717 votes for, 2,333,576,331 votes against, 47,729,016 abstentions, and 580,489,723 broker non-votes. The proposal was approved.
5. A shareholder proposal regarding an enhanced disclosure on climate goals
The results of the voting were 906,706,984 votes for, 11,427,222,293 votes against, 36,498,787 abstentions, and 580,489,723 broker non-votes. The shareholder proposal was not approved.
6. A shareholder proposal regarding a report on water usage and AI development
The results of the voting were 185,107,844 votes for, 12,131,395,079 votes against, 53,925,141 abstentions, and 580,489,723 broker non-votes. The shareholder proposal was not approved.
7. A shareholder proposal regarding equal shareholder voting

14. A shareholder proposal regarding a report on AI data usage oversight
The results of the voting were 1,510,607,181 votes for, 10,806,830,963 votes against, 52,989,920 abstentions, and 580,489,723 broker non-votes. The shareholder proposal was not approved.
